Who we are, and definitions
Xponsor is operated by UpgradeX (“we”, “us”). The “Platform” means the Xponsor apps, websites, widgets and APIs. An “Organizer” (or creator) is a user who publishes a Product; a “Supporter” is anyone who contributes, buys, votes or tips. “Products” are the tools listed below.
By creating an account, publishing a Product, or paying on the Platform, you agree to these Terms. If you act for an organization, you confirm you are authorised to bind it. If you do not agree, please do not use the Platform.
Eligibility and your account
You must be at least 18 and legally able to enter into a binding agreement. Provide accurate information when you register and keep it current.
You are responsible for activity under your account and for keeping your credentials confidential. Tell us promptly at [email protected] if you believe your account has been accessed without your permission.
The products
Xponsor brings several products together in one account:
- Fundraisers (Cagnottes) - collect one-off or recurring donations toward a stated goal.
- Ticketing (Billetterie) - sell tickets to events, issue QR tickets and check attendees in. Selling tickets is free of Xponsor commission.
- Contests (Concours) - run free or paid votes with a live ranking.
- Support (Soutien) - receive one-off tips and fixed-term memberships, including via a button embedded on your own site.
- “J’y serai” badges - free, commission-free shareable attendance badges, subject to our review before publication.
- Promotion (“Promouvoir”) - an optional paid feature that boosts an event’s visibility. Promotion fees are a service purchased from us and are non-refundable once the run starts.
Organizer responsibilities
If you publish a Product, you are solely responsible for its content, lawfulness and outcome. Describe it honestly, use funds for the stated purpose, and honour what you promise Supporters. You are responsible for your own permits, taxes and reporting.
We are a technology provider and are not a party to your relationship with Supporters, nor a broker, charity, or fundraising counsel.
Supporter terms
When you contribute, buy, vote or tip, you deal with the Organizer, not with us. Donations are voluntary transfers; a ticket or membership entitles you to what the Organizer describes. Refunds are governed by our Refund & Cancellation Policy.
Acceptable use
Your use of the Platform is subject to our Acceptable Use Policy, which lists prohibited campaigns and conduct. We may remove content, hold funds, or suspend accounts that breach it.
Payments, fees, and currencies
Payments are processed through our payment partner, Moneroo, which supports bank cards and mobile money (Orange Money, MTN MoMo, Wave). When you pay, you authorize the applicable charge, including any platform commission shown to you before you confirm.
Amounts are shown in FCFA (XOF), USD or EUR; the payer chooses the currency at checkout, and payment-provider fees are included in the amount shown to the payer. Our commission, where one applies, is set out in the Sales & Financial Terms.
Payouts and identity verification (KYC)
Before withdrawing funds you have raised or earned, you must complete identity verification. We may request identity documents and other information so we and our partners can meet legal and anti-fraud obligations, and may hold or decline a payout while verification is incomplete or a Product is under review.
Payouts are currently settled in FCFA (XOF). Support for settlement in other currencies may be added over time and will be communicated when available.
Your content and intellectual property
You keep ownership of the text, images and other material you upload. By posting it on Xponsor, you grant us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and adapt that content as needed to operate and promote the Platform and your Product.
The Xponsor and UpgradeX names, logo, software and design are our property or that of our licensors. Nothing in these Terms transfers those rights to you.
Third-party services
Xponsor relies on third parties for payments, identity checks, analytics and infrastructure. Your use of those features may also be subject to the third party’s own terms, and we are not responsible for their acts or omissions beyond what the law requires.
Disclaimers
The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not guarantee that a Product will reach its goal, that any promise made by an Organizer will be honoured, or that the service will always be uninterrupted or error-free.
Limitation of liability
To the fullest extent permitted by law, UpgradeX will not be liable for indirect, incidental or consequential losses, or for lost profit, data or goodwill, arising from your use of the Platform. Where liability cannot be excluded, it is limited to the fees you paid us in connection with the transaction that gave rise to the claim.
Indemnity
You agree to hold us harmless from claims arising out of your Products, your content, or your breach of these Terms or of the law, to the extent permitted by applicable law.
Suspension and termination
You may stop using Xponsor and close your account at any time. We may suspend or terminate access if you breach these Terms, if we are required to by law, or to protect the Platform and its users. Certain obligations - such as those relating to payments already made - survive termination.
Changes to these terms
We may update these Terms as the Platform evolves or as the law requires. When we make material changes, we will take reasonable steps to let you know. Continuing to use Xponsor after the changes take effect means you accept the updated Terms.
Governing law and contact
These Terms are governed by the laws of Benin. Any dispute falls to the competent courts of Cotonou, unless a mandatory rule of your country of residence provides otherwise. EU-resident consumers keep the protection of their local mandatory law.
